What is Company Share Option Plans (CSOPs)
A CSOP is a type of share option plan that allows employees to purchase shares in the company at a future date, typically at a discounted price. The shares are usually subject to a vesting period, meaning that employees must remain with the company for a certain length of time before they are able to exercise their options and purchase the shares.
One of the main benefits of a CSOP is that it can be a tax-efficient way of providing incentives for employees. When the employee exercises their options and purchases the shares, they will only pay capital gains tax on any increase in the value of the shares since the date of grant. This can be significantly lower than the income tax and National Insurance contributions that would be payable on a cash bonus or salary increase. For example, you have an employee who earns a basic salary of £100,000 per annum. They also earn an average bonus of c. £5k p.a, based on performance, and will be subject to tax at an effective rate of 60% on that bonus. If the same level of bonus accrued as an increase in the value of CSOP shares, rather than as wages that are subject to PAYE, it could escape tax altogether. Your key employee would then receive £5k rather than £2k, which is likely to help you retain their services.
Another advantage of a CSOP is that it can help to align the interests of employees with those of the company’s shareholders. By owning shares in the company, employees have a stake in its success and are more likely to be motivated to work hard and help the business grow.
